What These Terms Cover

These Terms of Service ("Terms") govern your use of the Eli website (eliapp.io) and the purchase and use of Eli services, operated by EVERYDAY LIFE IMPACT, a French simplified joint-stock company (SAS) with capital of €10,020, registered in La Rochelle under number B 90824325600017. By using our website or services, you agree to these Terms. If you do not agree, please do not use our website or services.

These Terms apply to:

  • Use of our website (eliapp.io) by all visitors
  • Free trial access to our platform (15 days)
  • Purchase and use of Eli services (subscriptions and one-time contracts)

Website Use

Eligibility

Our Website and Services are intended for business use only. You must be at least 18 years old and have authority to bind your organization to use our Services.

Prohibited Uses

You may not: • Use the Website for illegal purposes • Attempt to gain unauthorized access to our systems • Interfere with the proper functioning of the Website • Use automated tools to access the Website without permission • Violate any applicable laws or regulations

Eli Services

Service Description

Eli provides a SaaS platform enabling organizations to create and deploy internal engagement campaigns around topics including environmental sustainability, well-being, cybersecurity, and other strategic initiatives.

Free Trial

We offer a 15-day free trial with access to all features. No credit card is required. Trial data is subject to our Privacy Policy. We reserve the right to modify or discontinue the trial at any time.

Service Availability

We strive to provide reliable and continuous service access. However, we do not guarantee uninterrupted availability and reserve the right to perform maintenance with reasonable notice. We are not liable for service interruptions beyond our reasonable control.

Implementation

Standard implementation and onboarding typically takes approximately 1 month from contract signature. Actual timeline may vary based on Customer requirements and responsiveness.

Commercial Terms

Service Offers

We provide Services through: • Annual subscriptions with a minimum commitment of 1 year • One-time project-based contracts Specific terms, pricing, and scope are defined in your signed order form or contract.

Pricing & Payment

Prices are displayed on our Website and may vary based on company size, expected engagement, and selected features. All prices are exclusive of applicable taxes unless otherwise stated. For annual subscriptions, full payment is required upfront at contract signature. Payment terms for one-time contracts are Net 30 days from invoice date unless otherwise agreed. Accepted payment methods: bank transfer and credit card.

Late Payment

Late payments will incur penalties as permitted by French law, including: • Late payment interest as defined by law • Fixed recovery indemnity of €40 • Compensation for recovery costs exceeding the fixed indemnity

Price Changes

Prices are fixed for the duration of your contract term. We may adjust prices at renewal with at least 30 days' notice.

No Refunds

Payments are non-refundable except as required by applicable law or as expressly stated in your contract.

Term & Termination

Contract Duration

Annual subscriptions have a minimum commitment period of 1 year from the start date. Subscriptions do not automatically renew; renewal requires mutual agreement and a new contract.

Termination

Early termination is not permitted for annual subscriptions. We reserve the right to suspend or terminate Services immediately if: • Payment obligations are not met • Terms are violated • Illegal activity is detected • Required by law

Effect of Termination

Upon termination: • Access to Services will be suspended • Outstanding payments become immediately due • Customer data will be handled according to our Privacy Policy and applicable agreements • Provisions intended to survive termination will remain in effect

Intellectual Property

Our Rights

Eli, including all software, content, trademarks, and materials, is the exclusive property of EVERYDAY LIFE IMPACT. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.

Restrictions

You may not: • Reverse engineer, decompile, or disassemble the Services • Copy, modify, or create derivative works • Remove proprietary notices • Sublicense, resell, or transfer the Services • Use the Services to develop competing products

Customer Data

You retain ownership of all data, content, and materials you upload to the Services. You grant us a license to process this data solely to provide the Services and as described in our Privacy Policy.

Liability & Warranties

Warranty Disclaimer

Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that Services will be error-free or uninterrupted.

Limitation of Liability

To the maximum extent permitted by law, EVERYDAY LIFE IMPACT's total liability for any claims arising from or related to these Terms or the Services shall not exceed the amounts paid by Customer in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

Exceptions

Nothing in these Terms excludes or limits liability for: • Death or personal injury caused by negligence • Fraud or fraudulent misrepresentation • Any liability that cannot be excluded by law

Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information disclosed during the business relationship. This obligation survives termination of the Agreement.

Data Protection

We process personal data in accordance with applicable data protection laws, including GDPR. Modifications

General Provisions

Governing Law

These Terms are governed by French law. Any disputes shall be subject to the exclusive jurisdiction of the courts of La Rochelle, France.

Severability

If any provision is found unenforceable, remaining provisions remain in full effect.

Waiver

Failure to enforce any right or provision does not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with any signed order forms or contracts, constitute the entire agreement between parties and supersede all prior agreements.

Assignment

You may not assign or transfer your rights or obligations without our written consent. We may assign these Terms without restriction.
